GigDaze Terms & Conditions

1. Agreement to These Terms
These Terms & Conditions (“Terms”) govern your access to and use of GigDaze, including the website at gigdaze.com and related services (collectively, the “Service”).
GigDaze is a product of Benfield Creative, LLC, a Virginia limited liability company (“Benfield Creative,” “we,” “us,” or “our”).
By creating an account, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
You must be at least 18 years old to create an account or use GigDaze.
2. What GigDaze Does
GigDaze is a scheduling and coordination tool designed primarily for bands and musicians. It allows users to create and join bands, indicate availability for gigs and rehearsals, manage band memberships and roles, send or receive invitations, and use related scheduling features.
GigDaze is a coordination tool only.
GigDaze may send transactional email needed to provide features requested by users or bands, currently including band invitations, password reset messages, and manager-triggered availability reminders. Users may disable availability reminder emails in Profile; doing so does not disable invitations, password-reset messages, or other requested transactional email features. Email delivery is not guaranteed to be immediate or successfully received.
We do not guarantee that:
- information entered by another user is accurate, complete, or current;
- a member who marks themselves available will actually be available;
- any gig, rehearsal, meeting, or event will occur;
- an invitation, availability update, reminder email, or other information will be seen or acted upon;
- GigDaze is appropriate for any particular business, contractual, financial, or scheduling purpose.
You are responsible for independently confirming important plans, commitments, and arrangements with the people involved.
3. Accounts
You are responsible for maintaining the confidentiality of your account credentials and for activity that occurs through your account.
You agree to provide accurate information and to keep your account information reasonably current.
You may not:
- access another person's account without authorization;
- share credentials for the purpose of avoiding account restrictions;
- impersonate another person or organization;
- use GigDaze for unlawful, abusive, fraudulent, or malicious purposes;
- interfere with the operation or security of the Service;
- attempt to gain unauthorized access to GigDaze, its systems, or other users' information;
- scrape, probe, reverse engineer, or automate access to the Service in a manner that harms the Service or other users, except where applicable law expressly permits such activity.
We may suspend or terminate accounts that violate these Terms, threaten the Service or its users, or create legal or security risk.
4. Bands, Memberships, and User Decisions
Bands on GigDaze are created and managed by users.
Band managers may be able to invite, remove, bench, restore, or assign roles to members and designate other managers.
Benfield Creative does not control or arbitrate ordinary disagreements among band members concerning scheduling, membership, roles, management authority, gigs, rehearsals, compensation, or other band matters.
Users are responsible for their own decisions and arrangements.
GigDaze does not create an employment relationship, partnership, agency relationship, joint venture, booking agreement, performance contract, or other legal relationship among users or between users and Benfield Creative.
5. Your Content and Information
You may provide information or content to GigDaze, including profile information, profile photos, band names, band information, musical roles, invitations, scheduling preferences, and availability responses (“User Content”).
You retain ownership of your User Content.
You grant Benfield Creative a limited, non-exclusive, worldwide license to host, store, process, reproduce, transmit, and display your User Content only as reasonably necessary to operate, secure, maintain, and improve the Service.
You represent that you have the rights necessary to provide any User Content you submit.
Because GigDaze is collaborative, certain User Content is intentionally visible to other members or managers of bands in which you participate.
You should not submit information that you do not want shared with the users to whom the relevant GigDaze feature makes it available.
6. Availability of the Service
We may modify, suspend, discontinue, limit, or remove any part of GigDaze at any time.
We do not guarantee that the Service will:
- always be available;
- operate without interruptions, delays, bugs, or errors;
- be compatible with every device or browser;
- preserve information indefinitely;
- prevent every unauthorized access, security incident, or data loss.
You are responsible for maintaining any independent records or confirmations that are important to you.
GigDaze should not be relied upon as the sole record of a critical contractual, financial, employment, travel, safety, or performance commitment.
7. Third-Party Services
GigDaze relies on third-party infrastructure and services, including hosting and infrastructure providers.
Third-party systems may experience outages, errors, security incidents, changes, or interruptions beyond our control.
We are not responsible for third-party products or services except to the extent applicable law provides otherwise.
8. Intellectual Property
GigDaze, including its software, design, branding, logos, graphics, interfaces, and original content, is owned by or licensed to Benfield Creative and is protected by applicable intellectual-property laws.
These Terms do not grant you ownership of GigDaze or any Benfield Creative intellectual property.
You may use the Service only for its intended purposes and in accordance with these Terms.
9. Feedback
If you voluntarily provide suggestions, ideas, bug reports, feature requests, or other feedback concerning GigDaze, you grant Benfield Creative the right to use that feedback without restriction or compensation to you.
10. No Fees at Launch
GigDaze is currently provided without subscription or usage fees.
We may introduce paid features or plans in the future. If we do, applicable pricing and additional terms will be presented before you purchase them.
We will not retroactively charge you for use of a feature that was provided free of charge.
11. DISCLAIMER OF WARRANTIES
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GIGDAZE AND THE SERVICE ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND.
YOUR USE OF GIGDAZE IS AT YOUR OWN RISK.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BENFIELD CREATIVE DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, SECURITY, AND QUIET ENJOYMENT.
WITHOUT LIMITING THE ABOVE, WE DO NOT WARRANT THAT:
- THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE;
- DEFECTS WILL BE CORRECTED;
- DATA WILL NEVER BE LOST, CORRUPTED, DELAYED, OR ACCESSED WITHOUT AUTHORIZATION;
- USER-PROVIDED INFORMATION WILL BE ACCURATE;
- ANY PARTICULAR DATE, GIG, REHEARSAL, MEMBER, OR BAND WILL BE AVAILABLE;
- USE OF GIGDAZE WILL PRODUCE ANY PARTICULAR RESULT.
SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY EXCLUSIONS, SO SOME OF THESE DISCLAIMERS MAY NOT APPLY TO YOU.
12. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BENFIELD CREATIVE, LLC AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, OPPORTUNITY, GOODWILL, DATA, OR USE, ARISING OUT OF OR RELATING TO GIGDAZE OR THESE TERMS, EVEN IF ADVISED THAT SUCH DAMAGES MAY OCCUR.
THIS INCLUDES, WITHOUT LIMITATION, LOSS OR DAMAGE ARISING FROM:
- SERVICE INTERRUPTIONS OR OUTAGES;
- LOST OR CORRUPTED DATA;
- INCORRECT, STALE, OR INCOMPLETE AVAILABILITY INFORMATION;
- MISSED GIGS, REHEARSALS, EVENTS, OR OPPORTUNITIES;
- USER ACTIONS OR OMISSIONS;
- ACCOUNT OR BAND MANAGEMENT DECISIONS;
- THIRD-PARTY SERVICES;
- UNAUTHORIZED ACCESS OR SECURITY INCIDENTS.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BENFIELD CREATIVE'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID BENFIELD CREATIVE FOR GIGDAZE DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) US $100.
Nothing in these Terms limits liability that cannot legally be excluded or limited.
13. Indemnification
To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Benfield Creative, LLC and its owners, officers, employees, contractors, agents, and affiliates from claims, liabilities, damages, losses, and reasonable costs arising from:
- your unlawful or improper use of the Service;
- your violation of these Terms;
- your User Content;
- your violation of another person's rights.
This obligation does not apply to the extent a claim results from Benfield Creative's own conduct for which liability cannot lawfully be shifted to you.
14. Account Closure and Termination
You may close your GigDaze account through the account controls provided by the Service or by contacting help@gigdaze.com.
Certain restrictions may apply where account closure would leave a band without an active manager. You may be required to designate another eligible manager before closing your account.
We may suspend or terminate access to the Service if reasonably necessary to:
- enforce these Terms;
- protect users or the Service;
- address suspected fraud, abuse, or security threats;
- comply with law;
- discontinue the Service.
Account closure or termination does not eliminate provisions of these Terms that by their nature should survive, including intellectual-property provisions, disclaimers, liability limitations, indemnification obligations, and dispute provisions.
15. Privacy
Our collection and handling of personal information is described in the GigDaze Privacy Policy.
The Privacy Policy is incorporated by reference for informational purposes but does not reduce any privacy rights provided to you by applicable law.
16. Changes to These Terms
We may update these Terms from time to time.
When we make material changes, we will update the effective date and may require you to review and accept the revised Terms before continuing to use the Service.
Your continued use of the Service after an applicable revised version becomes effective constitutes acceptance where permitted by law.
17. Governing Law and Venue
These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-law principles.
To the extent a dispute may lawfully be subject to an agreed venue, you and Benfield Creative agree that disputes arising out of or relating to these Terms or GigDaze will be brought in the appropriate state or federal courts located in Virginia.
Nothing in this section deprives a consumer of protections or jurisdictional rights that cannot legally be waived.
18. Severability
If any provision of these Terms is found unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in effect.
19. No Waiver
A failure by Benfield Creative to enforce any provision of these Terms is not a waiver of that provision or any other right.
20. Entire Agreement
These Terms, together with any policies expressly incorporated into them, constitute the agreement between you and Benfield Creative regarding your use of GigDaze and supersede prior understandings regarding the Service.
